Many first-time business owners in Malaysia register as a Sole Proprietor because it’s the simplest and cheapest business structure to set up. But there’s still confusion around the actual process — the fees, who’s eligible, and the difference between registering under your own name versus a trade name.

Short answer: registering a sole proprietorship with SSM costs RM30/year (personal name, as per your IC) or RM60/year (trade name, e.g. “Boss Boleh Enterprise”), can be done online via the SSM4U/EzBiz portal, and is typically approved within 1 working day. Only Malaysian citizens or Permanent Residents aged 18 and above are eligible to register as an individual owner.

This guide covers the registration process, fees, required documents, tax obligations, and when you should consider converting to a Sdn Bhd — based on SSM’s official guidelines.

What Is a Sole Proprietor?

A sole proprietor is an individual who owns and runs a business on their own, without any partners. Legally, the owner and the business are the same entity — there’s no separation between personal and business assets. This means business profits become your personal income directly, but you’re also fully and personally liable (without limit) for any business debts or liabilities.

This structure is registered under the Registration of Businesses Act 1956 and regulated by the Companies Commission of Malaysia (SSM) — unlike a Sdn Bhd, which is registered under the Companies Act 2016 as a separate legal entity.

Who Is Eligible to Register as a Sole Proprietor?

Per SSM’s official guidelines, the eligibility requirements are:

  • The owner must be a Malaysian citizen or Permanent Resident (PR) of Malaysia.
  • The owner must be 18 years of age or older.
  • Only the owner personally is allowed to submit the registration application — not a representative or agent.

Foreign nationals (non-citizens/non-PRs) are generally not eligible to register a sole proprietorship as an individual owner. If you’re a foreign national looking to do business in Malaysia, incorporating a Sdn Bhd is the appropriate route, since the Companies Act 2016 allows company incorporation regardless of nationality.

Personal Name vs Trade Name: Fees & Which to Choose

You have two options when registering a sole proprietorship — use your own name as per your IC, or use a trade name. The fees differ depending on your choice:

Registration TypeFee (per year)Example
Personal Name (as per IC)RM30.00Ahmad Bin Ali
Trade NameRM60.00Boss Boleh Enterprise
Branch registrationRM5.00 per branch—
Change of business particularsRM20.00—
Business terminationFree—

Personal name is cheaper and faster to process — suitable if you’re doing freelance work or services under your own name (e.g. consultants, tutors). Trade name is better if you want a recognisable brand for customers, or plan to open branches and grow.

How to Register a Sole Proprietorship

Registration can be done entirely online via the official SSM4U (EzBiz Online) portal, 24 hours a day:

  • Check & reserve a name — if you’re using a trade name (not your own name), check first that it isn’t already taken.
  • Complete Form A — SSM’s official business registration form, covering the business name, commencement date, principal place of business, and the owner’s IC details.
  • Upload supporting documents — a copy of your IC, plus any industry-specific licences or approvals if applicable (e.g. Ministry of Education approval for a tuition centre, Welfare Department approval for a childcare centre).
  • Make payment — via credit card or FPX online banking directly on the portal.
  • Approval — typically processed within 1 working day.
  • Download your certificate — the registration certificate can be downloaded free within 90 days of approval; after that, you’ll need to purchase a reprint through a registered service provider.

Renewal & Penalties for Late Renewal

A sole proprietorship registration is valid for 1 year, and you can renew in advance for up to 5 years at a time. Renewal can be done any time before the expiry date, or within a grace period of up to 12 months after expiry.

If you continue operating after your registration has lapsed without renewing, this is an offence under the Registration of Businesses Act 1956 — the maximum penalty is a fine of up to RM50,000 or imprisonment of up to 2 years, or both. This doesn’t mean you’ll automatically face the maximum penalty, but it underlines why timely renewal matters.

Sole Proprietor Tax Obligations

As a sole proprietor, your business income is taxed as personal income under LHDN’s progressive individual tax rates (not corporate tax rates), and filed via Form B. This is entirely different from a Sdn Bhd, which is taxed separately at corporate/SME rates.

Advantages & Disadvantages of a Sole Proprietorship

Advantages:

  • Cheapest and fastest structure to register — you can start operating within a day.
  • Full control over business decisions, with no requirement to appoint a Company Secretary or conduct annual audits.
  • Simple tax filing — directly through your personal Form B.

Disadvantages:

  • Unlimited liability — your personal assets (home, car, savings) can be at risk if the business incurs debt or is sued.
  • Harder to secure bank financing, outside investment, or government tenders compared to a Sdn Bhd.
  • Weaker corporate image with corporate clients and financial institutions.

When Should You Switch to a Sdn Bhd?

Many sole proprietors start considering a switch when:

  • Profits have grown to a point where personal tax rates exceed corporate SME rates.
  • You want to protect personal assets from business liability risk.
  • You need to bid for government tenders, secure larger bank financing, or bring in investors.

Frequently Asked Questions

How much does it cost to register a sole proprietorship in Malaysia?

RM30 per year if you register under your personal name (as per your IC), or RM60 per year if you use a trade name. These are official SSM fees and apply to both new registrations and renewals.

Sole Proprietor vs Enterprise — are they the same thing?

Yes. “Sole Proprietor” refers to the individual who owns the business, while “Enterprise” is typically the name used when the business is registered under a trade name (e.g. “ABC Enterprise”). Both refer to the same sole proprietorship structure under SSM.

Can foreigners register a sole proprietorship in Malaysia?

No. Per SSM’s official guidelines, only Malaysian citizens or Permanent Residents (PRs) are eligible to register as a sole proprietor. Foreign nationals looking to do business in Malaysia need to incorporate a Sdn Bhd instead.

How long does SSM registration take?

Online registration via the SSM4U/EzBiz portal is typically approved within 1 working day, once your documents and payment are complete.

What happens if I don’t renew my registration?

You have a grace period of up to 12 months after expiry to renew. If you continue operating beyond that without renewing, it becomes an offence under the law, with a maximum penalty of a RM50,000 fine or up to 2 years’ imprisonment.

How is a sole proprietor taxed?

Business income is taxed as personal income under LHDN’s individual tax rates, filed via Form B (not Form BE, which is for employment income only).

Can I convert my sole proprietorship to a Sdn Bhd later?

Yes. Many business owners start as a sole proprietor to test the market, then convert to a Sdn Bhd once the business grows and needs limited liability protection or is ready to pursue investment or tenders.

Is there an age requirement to register as a sole proprietor?

Yes. The owner must be 18 years or older and a Malaysian citizen or Permanent Resident, per SSM’s official guidelines.
