On the SSM registration form there is a field asking for your nature of business. It looks like the easiest question on the page. You know what your business does, you type a few words, you move on. Most people spend under a minute on it.

That field turns up again in places you did not expect. A local council officer reads it when you apply for a business premise licence. A bank compares it against what you said in your account opening interview. A grant assessor uses it to decide which category you fall into. By then you cannot casually reword it, because changing it is a filing with a deadline attached.

This guide covers what SSM is actually asking for in that field, how to phrase it so it passes without boxing you in, and what the procedure is if you need to change it after registration.

Short answer: Nature of business is a short written description of the main economic activity your business actually carries out, recorded in your SSM registration. In Malay, SSM uses “jenis perniagaan” for businesses registered under the Registration of Businesses Act 1956 and “sifat perniagaan” for companies under the Companies Act 2016. It is not the same thing as an MSIC code, which is a five-digit number, and it is not the same thing as an objects clause in a company constitution.

Nature of business meaning, in plain terms

Nature of business means the main revenue-generating activity of your business. Not your mission statement. Not the full service list on your website. Not what you hope to be doing in five years. The question behind the field is narrow: where does the money come from.

The Malay equivalents matter because you will meet both:

  • Jenis perniagaan is the term SSM uses in ROB registration forms and guidelines. The official change-of-particulars guideline lists “Perubahan Jenis Perniagaan” as one of the amendable categories.
  • Sifat perniagaan is the term that appears in company documents, a direct rendering of “nature of business”.
  • Aktiviti perniagaan and bidang perniagaan are everyday phrasings rather than form terminology, but they refer to the same thing.

One thing worth knowing before you write anything: this description becomes part of the public record. Anyone who buys an entity search from SSM sees it. Banks, government agencies and corporate customers doing supplier checks all read it. That is why a throwaway phrase written in thirty seconds tends to cost time later.

Where nature of business appears on SSM forms

The field sits in a different place depending on what you are registering.

Sole proprietorships and partnerships (ROB)

For a business registered under the Registration of Businesses Act 1956, the nature of business goes in during registration through the EzBiz service on the SSM4U portal. Section 5 of that Act requires the application to state the business name, the nature of the business, the date it commenced and the places of business, and to be submitted no later than thirty days from the date the business started.

The activity you select ends up printed on your business registration certificate. That certificate is what you hand over when applying for a local council licence, which is where a vague description first becomes a real problem.

Sdn Bhd companies (ROC)

For a Sdn Bhd, the nature of business is part of the incorporation application under Section 14 of the Companies Act 2016, the submission commonly called the Superform. Once the company exists, the registered nature of business is restated in your Annual Return each year. A wrong entry does not quietly disappear. It gets repeated annually until someone fixes it.

If you have not committed to a structure yet, the comparison between a sole proprietorship and a Sdn Bhd is worth reading first, because the change procedure later differs sharply between the two.

Nature of business vs MSIC code vs objects clause

These three get mixed up constantly. All three describe what a business does, but they come from different systems and carry different consequences.

The MSIC code and the nature of business travel together but are not interchangeable. The code is a standardised number; the description is the sentence explaining what you actually do. SSM runs a search tool called BizCodEX that matches common business activity terms to the appropriate MSIC code. The objects clause is largely a legacy issue. Section 21 of the Companies Act 2016 gives a company full capacity to carry on any business or activity. If your company has no constitution, there is no objects clause and no company-law restriction on what you can do. If you do adopt a constitution that states objects, Section 35 means the company cannot operate outside them. Plenty of SMEs inherited constitutions drafted under the 1965 Act. How to write a good nature of business description

A description that works has three qualities. It names an activity, it names the product or service involved, and it is not tied to a single brand, product line or address.

Leave out brand names, specific product names, town names, revenue targets and marketing adjectives. SSM does not assess whether your service is premium or affordable. It records what you do.

Put in a clear activity verb such as manufacture, wholesale trade, retail trade, construction, consultancy, leasing or transport, followed by a product or service category broad enough to absorb normal variation within the same line of work.

Treat these as starting points rather than final answers. The right wording depends on what your business genuinely does day to day.

Some activities need approval or a supporting letter from a regulator before SSM will register them, security services, employment agencies, travel agencies, education centres and healthcare among them. If your activity falls into one of those, get the agency documentation ready before you file.

What goes wrong when the description does not match reality

A mismatched record rarely causes trouble on registration day. It surfaces months later, usually when you are in a hurry.

  • Business premise licensing. Local councils check the SSM certificate as part of the licence application. If the registered activity does not cover what you actually do at that premise, the application stalls until you update the SSM record first.
  • Company bank accounts. Banks run customer due diligence before opening an account, and part of that is comparing your registered activity against your stated business model and expected transaction pattern. A mismatch leads to delays, extra document requests, or a declined application. Merchant accounts and payment gateways apply the same logic.
  • Grants and tenders. Registrations with MOF, CIDB and SME support programmes generally need to line up with your registered activity. If SSM records you as a retailer and you apply under a construction category, the application does not survive the first screening.
  • Audit and tax. Audited financial statements state the company’s principal activities, and the auditor compares that against the registered record. Where they differ, it becomes a question to answer and sometimes a note in the file.
  • Insurance. Insurers price policies against the declared activity. An undeclared activity can become the basis for rejecting a claim.

None of this invalidates your SSM certificate. The consequences are duller than that: delays, extra paperwork, and remedial filings you could have avoided.

How to change your nature of business after registration

The procedure is completely different for ROB businesses and for companies. This is where most of the confusion sits.

For ROB businesses the application is submitted online through EzBiz on the SSM4U portal. SSM’s guideline states that only an active business may register changes, and that the registered business type must be consistent with the business name. If you registered as “Amira Enterprise Catering” and you are moving into transport services, expect to change the name as well. The SSM guidelines for changes in business particulars list the full supporting document requirements.

For companies, Practice Directive 2/2017, revised on 3 December 2018, requires notification to SSM of a change in business address and/or nature of business within 14 days of the change. The same directive also states that a company cannot declare itself as “DORMANT” as its nature of business, since dormancy describes financial status rather than business type.

One extra step applies to companies with a constitution containing an objects clause. If the new activity falls outside those objects, the constitution needs amending by special resolution before the change makes sense. If your company has no constitution, this does not apply. Fees and form requirements do change, so confirm the current position on the SSM4U portal or with your company secretary before filing.

Common mistakes

  • Copying wording off a template. Generic phrasing lifted from a sample form rarely matches actual operations, and it stays on the record for years.
  • Writing “trading” and nothing else. It is the most common entry and the least useful one. It creates work for you at licensing and banking stage.
  • Listing activities you do not carry out. Some owners add several activities “just in case”. If one of them is a regulated activity, you have created a compliance obligation you never needed.
  • Declaring “dormant” as the nature of business. Practice Directive 2/2017 says this is not allowed.
  • Treating the objects clause as the same thing. Two different documents, two different amendment procedures, two different legal effects.
  • Pivoting the business and never updating the record. Plenty of companies changed their model two or three years ago while the SSM record still shows the original activity. This belongs on your annual SSM compliance checklist.
  • Choosing the entity before thinking about the activity. Certain regulated activities cannot be carried on as a sole proprietorship at all. Check the types of business entities in Malaysia before you register.

What is nature of business in Malay?

SSM uses “jenis perniagaan” for ROB registrations and “sifat perniagaan” for companies. In conversation people also say “aktiviti perniagaan” or “bidang perniagaan”. All of them point to the same thing, the description of your main economic activity.

Is nature of business the same as an MSIC code?

No, though they are closely linked. The MSIC code is a five-digit number from the Department of Statistics Malaysia classification. The nature of business is the written description of your activity. Both are captured at registration and should be consistent with each other.

Can I register more than one nature of business?

Yes, and many businesses genuinely have more than one activity. List the main revenue-generating activity first. The number of activities a form allows can change, so confirm the current limit on the SSM4U portal before filling anything in.

How long do I have to file a change?

For businesses registered under the ROB, 30 days from the date of the change. For a Sdn Bhd, Practice Directive 2/2017 sets 14 days from the date the change takes effect. Two different deadlines because they sit under two different statutes.

How much does it cost to change nature of business?

SSM’s guidelines state RM20 for registration of change of business particulars for ROB businesses, plus RM5 for each branch address change. For companies, the Practice Directive does not state a specific registration fee, though there is normally a company secretary service charge. Confirm current rates on the SSM4U portal, as fees change.

Do I need to amend the company constitution when the nature of business changes?

Only if your company has a constitution stating objects and the new activity falls outside them. Under Section 21 of the Companies Act 2016 a company has full capacity to carry on any business, and a constitution is not compulsory for a Sdn Bhd.

Can I just write “trading”?

It may get accepted in some cases, but it is a poor choice. Banks, local councils and grant agencies need something more specific, and a vague entry generally leads to follow-up document requests later.

If my nature of business is wrong, is my SSM certificate invalid?

No. The certificate remains valid. What happens is that your record no longer reflects your operations, and the mismatch surfaces whenever a third party runs a check. Correct it through the change notification process for your entity type.

Who files the change for a Sdn Bhd?

The company secretary. The notification form under Practice Directive 2/2017 is signed by the secretary, who states their licence or membership number and SSM practising certificate number.

Does the nature of business have to match the business name?

For ROB registrations, yes. SSM’s guideline states that the registered business type must be consistent with the business name. If your name references a specific activity and you move into a different line of work, you may need to register a name change alongside the activity change.

Before you fill in the form

Spend ten minutes drafting the wording before you open the form rather than composing it in the field. Ask which activity produces the largest share of revenue, which product or service category that sits in, and whether the sentence would still be accurate if you added an adjacent product line next year. Wording that survives those three questions usually lasts three or four years without amendment.
